1Purpose
These Terms of Sale govern the contractual relationship between Croissance et Transitions SAS, publisher of the Junyr platform (hereinafter "Junyr"), and any individual or legal entity (hereinafter "the Customer") subscribing to the services offered on junyr.app.
Junyr is a sovereign SaaS (Software as a Service) platform, hosted entirely in France by OVH SAS, enabling businesses to recruit, train and manage autonomous AI agents ("Junyrs") to automate their business tasks (CRM, ERP, email, support, accounting). The platform also includes a professional webmail (Junyr Mail) with per-account confidentiality tiers and cryptographic email timestamping (RFC 3161).
2Pricing and Payment Terms
Junyr offers three subscription plans, prices indicated in euros excluding VAT:
- Starter — €179 excl. VAT/month (up to 5 Junyrs, 1,000 AI credits/month). Target: freelancers and small businesses.
- Growth — €179 excl. VAT/month + €79 excl. VAT per additional user (up to 50 Junyrs, 5,000 AI credits/month).
- Enterprise — on request (unlimited Junyrs and credits, dedicated support, enhanced SLAs).
A "User" add-on at €9.90 excl. VAT/month includes a professional @junyr.app mailbox + storage quota. A 17% discount applies to annual billing. All new subscriptions include a 14-day free trial. Promotional codes accepted at checkout.
Payment is made by credit card or SEPA direct debit through our payment provider Stripe (PCI-DSS Level 1). Prices are displayed excluding VAT; applicable VAT is added at checkout. Billing is monthly or annual (Customer's choice), automatically charged on the subscription anniversary date.
Junyr reserves the right to modify its pricing. Any price changes will be notified to the Customer with 30 days' notice and will apply to the next billing period.
3Subscription, Modification and Cancellation
The subscription is for an indefinite period with a minimum commitment matching the chosen billing period (monthly or annual).
From their personal dashboard, the Customer may at any time: change plan (with proration), pause the subscription temporarily (Stripe pause_collection), or cancel. Cancellation takes effect at the end of the current billing period; the Customer retains access until that date.
Junyr may suspend or terminate the subscription in case of:
- Persistent non-payment after formal notice with no remedy
- Violation of the Terms of Service
- Fraudulent, abusive or unlawful use
Upon termination, Customer data is retained for 30 days, during which it may be exported (standard formats: CSV, JSON, EML, PDF). After this period, data is permanently and irreversibly deleted from active databases; encrypted backups are purged within a maximum of 90 days.
4Right of Withdrawal
In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for contracts for the supply of digital content not provided on a tangible medium whose performance has begun with the consumer's prior express consent.
By accepting these Terms of Sale and accessing the service immediately, the consumer Customer expressly waives their right of withdrawal.
However, Junyr offers a 14-day free trial with no commitment. No charge is made during this period and the Customer may cancel free of charge before the first debit. Beyond this, an additional 14-day "Satisfaction Guarantee" applies from the first effective payment.
5Service Delivery
Access to the service is provided immediately upon payment validation (or immediately upon registration for the free trial). The Customer receives login credentials by email at the address provided.
Junyr commits to a service availability of 99.5% per month (Starter / Growth) and 99.9% per month (Enterprise), excluding scheduled maintenance. Scheduled maintenance is notified with at least 48 hours' notice via the public status page (status.junyr.app).
Depending on the subscribed plan, the service includes:
- AI agents (Junyrs) — limit per plan tier
- 40 effective work hours per Junyr per month
- Monthly AI credits — quota per plan tier
- Access to all trainings and workflows
- ERP modules (Commercial, Production, HR, Finance, Marketing, CSR, Admin)
- Junyr Mail webmail with per-account confidentiality tiers (Simple, Secure with Presidio sanitization, Total with end-to-end PGP encryption)
- Cryptographic email timestamping (RFC 3161, Phase 1 — opt-in)
- API integrations included
- Standard support (Starter / Growth) or priority support (Enterprise)
Hosting is provided entirely by OVH SAS on servers located in France (Roubaix), guaranteeing data sovereignty within the European Union.
6Warranties
Junyr warrants that the service conforms to its published description and normal use.
The service is provided "as is". Junyr does not warrant that the service will meet all of the Customer's specific needs or that its use will be uninterrupted or error-free.
AI agents (Junyrs) are assistance tools based on language models (LLM). Their outputs must be verified by the Customer before any use of professional, contractual or decision-making value. Junyr cannot be held liable for hallucinations or errors inherent to the probabilistic nature of LLMs.
The RFC 3161 cryptographic timestamping provided in the Junyr Mail module (Phase 1) constitutes a reliable technical proof of priority but is NOT a qualified timestamp within the meaning of the eIDAS Regulation (EU No. 910/2014). A migration to a Qualified Trust Service Provider (Phase 2) is planned. The Customer is informed of this distinction when activating the feature.
Junyr commits to correcting any proven service malfunction as quickly as possible.
7Limitation of Liability
Junyr's liability is limited to direct, certain and foreseeable damages resulting from a proven breach of its contractual obligations.
Under no circumstances shall Junyr be held liable for:
- Indirect damages (loss of revenue, data loss not attributable to Junyr, reputational damage, etc.)
- Decisions made by the Customer based on outputs provided by AI agents
- Damages resulting from non-compliant use of the service or misconfiguration by the Customer
- Service interruptions due to force majeure events (third-party infrastructure incidents, mass cyberattacks, etc.)
- Content of inbound or outbound emails processed by Junyr Mail
Junyr's total liability, all claims combined, is capped at the amounts effectively paid by the Customer during the 12 months preceding the triggering event.
8Personal Data
Croissance et Transitions SAS collects and processes the Customer's personal data in accordance with the General Data Protection Regulation (GDPR, EU 2016/679) and the French Data Protection Act of January 6, 1978 as amended.
The data collected is strictly necessary for contract performance and service delivery. It is retained for the duration of the contractual relationship and legal retention periods (10 years for accounting records, 3 years for prospect data after last contact).
Confidentiality tiers (Junyr Mail):
- Simple — standard AI processing with European GDPR-compliant providers
- Secure — automatic sanitization of personal data (Microsoft Presidio) before any LLM call
- Total — end-to-end PGP encryption client-side, no clear server access, no AI processing possible
The Customer has the right to access, rectify, delete, port, restrict and object to the processing of their data. These rights may be exercised at any time by contacting the Data Protection Officer: dpo@junyr.app

9Intellectual Property
Junyr retains all intellectual property rights to the platform, software, algorithms, and AI models.
The Customer retains ownership of their data and content provided to train their AI agents.
The Customer grants Junyr a non-exclusive license to use their data solely for the purpose of providing the service. This license terminates upon contract termination.
Deliverables generated by AI agents belong to the Customer, subject to third-party rights.
10Applicable Law and Jurisdiction
These Terms of Sale are governed by French law.
In case of dispute, the parties agree to seek an amicable solution before any legal action.
Failing amicable resolution within 30 days, the courts of Draguignan (Seller's registered office, RCS Draguignan) shall have exclusive jurisdiction to hear the dispute, subject to mandatory legal provisions to the contrary (in particular consumer law, where the jurisdiction of the consumer Customer's domicile may prevail).
11Mediation
In accordance with the provisions of the French Consumer Code concerning amicable dispute resolution, the consumer Customer has the right to use the free mediation service offered by Junyr.

12Modification of Terms
Junyr reserves the right to modify these Terms of Sale at any time.
The Customer will be informed of any modifications by email and/or notification on the platform with a minimum of 30 days' notice.
Continued use of the service after the modifications take effect constitutes acceptance of the new Terms of Sale.
In case of disagreement with the modifications, the Customer may cancel their subscription in accordance with the terms set out in Article 3.
